Welcome to LockMyTrades. These Terms & Conditions ("Terms") govern your access to and use of the LockMyTrades software, website, and related services (collectively, "the Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By creating an account, subscribing to, downloading, or otherwise using LockMyTrades, you agree to be bound by these Terms, our Privacy Policy, and our Cancellation & Refund Policy. If you do not agree with any part of these Terms, you must not use the Service. You confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Nature of the Service (Important Disclaimer)

LockMyTrades is a Software-as-a-Service (SaaS) productivity application designed to help users enforce their own self-defined trading discipline rules through automated software. The Service operates as a "behavioral firewall" — similar to website-blocking applications — but specifically for trading terminals (MetaTrader 4, MetaTrader 5, TradeLocker, Upstox, Dhan).

All trading involves substantial risk of loss. The Service merely enforces rules YOU define in advance. You are solely responsible for all trading decisions, capital deployment, and financial outcomes resulting from your use of any trading platform.

3. License to Use

Upon successful subscription, we grant you a personal, non-exclusive, non-transferable, revocable license to use the Software for your own personal trading activities.

3.1 License Scope

• The Pro Plan license is valid for use on one (1) MetaTrader 4 account and one (1) MetaTrader 5 account operated by you
• Additional broker integrations (TradeLocker, Upstox, Dhan) are subject to the same single-user, personal-use restriction
• Additional accounts beyond the included scope require additional licenses
• The license is valid only for the duration of your active paid subscription

3.2 License Restrictions

You agree NOT to:

• Share, sub-license, resell, or commercially redistribute your license key
• Reverse-engineer, decompile, or attempt to extract source code from our Expert Advisor (.ex4/.ex5 files) or any other proprietary software components
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our servers, APIs, or other users' accounts
• Use automated scripts, bots, or scrapers to interact with the Service in unauthorized ways

Violation of these restrictions will result in immediate license termination without refund and may subject you to legal action.

4. Subscription, Billing & Auto-Renewal

4.1 Free Trial

LockMyTrades Pro Plans include a fully functional 7-day free trial. No charges are made during the trial period. You may cancel anytime during the trial without any obligation.

4.2 Auto-Renewal Disclosure

After your 7-day free trial ends, your subscription will automatically convert to a paid plan and you will be charged the applicable monthly or annual fee using your registered payment method. You will receive an email reminder approximately 48 hours before the first charge. You may cancel before the trial ends to avoid being charged.

Subsequent renewals occur automatically at the end of each billing cycle (monthly or annual) at the then-current price. All recurring payments comply with RBI guidelines for e-mandates, including UPI AutoPay and e-NACH mechanisms.

4.3 Pricing & Taxes

Prices are displayed inclusive or exclusive of applicable taxes (GST in India) as indicated at checkout. We reserve the right to modify pricing with at least 30 days' advance notice via email. Existing subscribers will continue at their locked-in price for the remainder of their current billing cycle.

4.4 Failed Payments

If a renewal payment fails, we will retry the payment up to 3 times over 7 days. If all retries fail, your account will be downgraded to free-trial limitations until payment is successfully processed.

5. Refunds & Cancellation

Our refund and cancellation policies are detailed in our separate Cancellation & Refund Policy, which forms part of these Terms. In summary:

• 14-day refund window for first-time paid subscribers
• Cancellation anytime via your dashboard or email support
• Service remains active until the end of your paid period after cancellation
• Subsequent renewal cycles are non-refundable except in specific circumstances

6. Liability & Disclaimers

While LockMyTrades acts as a behavioral firewall to enforce your self-defined limits, you acknowledge and agree that:

• Technical failures, broker API delays, MetaTrader terminal crashes, internet disconnections, or third-party service outages may occasionally prevent the Software from operating as intended
• The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied
• We are not liable for trading losses, including but not limited to losses caused by software bugs, delayed execution, server downtime, or your own trading decisions
• You use the Service entirely at your own risk and are responsible for maintaining adequate backups, alternative risk controls, and broker-side stop-loss orders

To the maximum extent permitted by applicable Indian law, our total cumulative liability arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

7. Account Suspension & Termination

We reserve the right to suspend or terminate your account with reasonable prior notice (typically 7 days), or immediately in cases of proven fraud or serious violation, if we identify:

• Violation of these Terms or our Acceptable Use guidelines
• Unauthorized sharing, reselling, or commercial redistribution of license keys
• Malicious activity against our API servers or infrastructure
• Failure to pay subscription fees beyond the grace period
• Use of the Service for unlawful activities
• Chargebacks initiated without first contacting our support team

In cases of immediate termination due to fraud or serious violation, your data will be preserved for 30 days during which you may export your data or contest the decision via email.

You may terminate your account at any time by canceling your subscription and contacting support@lockmytrades.com to request data deletion.

8. Intellectual Property

All content, software code, design elements, logos, trademarks, and other intellectual property associated with LockMyTrades are owned by us or our licensors and are protected by Indian and international copyright, trademark, and other intellectual property laws. Your subscription grants you only a limited license to use the Service; it does not transfer ownership of any intellectual property.

9. Third-Party Integrations

The Service may integrate with third-party platforms (MetaTrader, TradingView, Telegram, Upstox, Dhan, TradeLocker, payment processors). We are not responsible for the availability, accuracy, content, or practices of such third-party services. Your use of any third-party service is subject to that service's own terms and conditions.

10. Indemnification

You agree to indemnify, defend, and hold harmless LockMyTrades and its operators from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content or data you submit through the Service.

11. Modifications to Terms

We may modify these Terms from time to time. Material changes will be notified via email to registered users at least 30 days before taking effect. Continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to the changes, you may cancel your subscription before the changes take effect.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any disputes, claims, or controversies arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts of Mumbai, Maharashtra, India.

LockMyTrades operates as a registered Indian sole proprietorship in compliance with applicable Indian laws including the Goods and Services Tax Act 2017, Information Technology Act 2000, Digital Personal Data Protection Act 2023, and Consumer Protection Act 2019. Our complete business registration details are maintained with payment processors and Indian regulatory authorities, and can be verified upon legitimate legal request.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between you and LockMyTrades regarding the Service and supersede all prior agreements, communications, or understandings.
